Welcome to ROXLY. These Terms of Service ("Terms") govern your access to and use of the ROXLY application, website, and related services (collectively, the "Service"), operated by the individual doing business as ROXLY ("we," "us," or "our"). By creating an account, browsing as a guest, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be 18 years of age or older to create an account or use the Service. By using ROXLY, you represent and warrant that you are at least 18 years old. We do not knowingly permit anyone under 18 to create an account, and we reserve the right to terminate any account found to belong to a person under 18 without notice.
ROXLY is a proximity-based social application that allows users to discover other nearby users on a map, join voice channels (including a default "General" channel and optional password-protected private channels created by Pro subscribers), send text messages in a shared chat hub, and communicate via live voice audio. The Service uses your device's location data to determine proximity to other users.
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when creating your account and to promptly update it if it changes. You may not impersonate another person, create an account on behalf of someone else without authorization, or maintain more than one account for abusive purposes.
You may use the Service in "Guest Mode" without creating an account, in which case certain features (including voice communication and chat) are unavailable to you.

We reserve the right to suspend or terminate your access to the Service, at our sole discretion, for any violation of these Terms or for any conduct we believe is harmful to other users or to ROXLY.
ROXLY requires access to your device's location in order to function. By using the Service, you consent to the collection and use of your location data as described in our Privacy Policy. Voice communications transmitted through the Service are relayed live between users and are not recorded or stored by ROXLY. You are solely responsible for your conduct during voice communication with other users, and ROXLY is not responsible for the content of any voice communication between users.
Pro subscribers may create password-protected private channels. Any user — free or Pro — who obtains the correct password may join that channel. Private channels automatically expire and are removed after 24 hours. The creator of a private channel is solely responsible for safeguarding its password and for the conduct of individuals they choose to admit. ROXLY is not responsible for who a channel creator shares a password with, or for any interactions that occur within a private channel.
We reserve the right to remove any channel, at any time, for any reason, including but not limited to reports of abuse or violations of these Terms.
ROXLY offers an optional paid subscription tier ("ROXLY Pro") that unlocks additional features, currently billed at $2.99/month or $19.99/year. Payments are processed by our third-party payment processor, Stripe. We do not store your full payment card information.
Subscriptions automatically renew at the then-current price unless canceled prior to the renewal date. You may cancel your subscription at any time from your account settings; cancellation will take effect at the end of the current billing period, and no partial refunds will be issued for the remaining period unless required by law.
We reserve the right to change subscription pricing or features at any time, with reasonable notice to existing subscribers where required by law.
The Service, including its design, graphics, logos, and underlying software, is owned by ROXLY and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our express written permission.
You retain ownership of any content you submit through the Service (such as chat messages), but by submitting it, you grant ROXLY a non-exclusive, worldwide, royalty-free license to use, display, and transmit that content solely for the purpose of operating the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
ROXLY connects you with other individuals based on physical proximity. We do not conduct background checks on users and cannot guarantee the identity, intentions, or conduct of any other user. You are solely responsible for your own safety and judgment when interacting with others through the Service, including when meeting anyone in person.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROXLY AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, INCLUDING ANY INTERACTIONS WITH OTHER USERS, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless ROXLY, and its operator, from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your interactions with other users.
We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service and delete your account at any time by contacting us at the email below.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (such as an in-app notification or updated "Last Updated" date). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in New York State.
